SECTION 1 – AGREEMENT TO ENROLL
AGREEMENT TO ENROLL IN FULLY PAID MEMBERSHIP
Some of our offers include the opportunity to enroll in a FULLY PAID MEMBERSHIP. If the offer you have been presented with includes a membership, the terms will be spelled out clearly. We make no attempt to hide, misrepresent, or otherwise deceive your invitation to an ongoing membership.
If you enroll in a FULLY PAID MEMBERSHIP to this website, you unconditionally agree to be billed the on-going membership fee, the “Current Membership Fee.” You further agree that this billing will continue until such time that you request your membership be canceled by calling us, deactivating your membership on our site or sending us an email requesting cancellation of your membership. You may cancel your membership at any time.
CANCELLATION POLICY
You can cancel at any point in your membership. Your membership will end, and you will not be billed for any membership fees moving forward. You can immediately cancel your membership on the My Account Page or, you can contact us by phone (435-572-4432) or email us with the subject line, “Cancel my Membership”. We respond to emails as quickly as possible, often within 24 hours (unless it’s the weekend).
REFUND POLICY
We are delighted to offer a cancellation and full refund of the current months’ membership fee upon request. Simply contact us by phone (435-572-4432) or email us with the subject line, “Membership Refund Request”. We respond to emails as quickly as possible, often within 24 hours (unless it’s the weekend). Once processed, you should receive your refund within 3-5 business days.
Passwords
To use certain features of the Site, you may need a username and password, which you will receive through the Site’s registration process. You are responsible for maintaining the confidentiality of the password and account and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.
SECTION 2 – ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use this Site.

We reserve the right to refuse service to anyone for any reason at any time.

Credit card information is always encrypted during transfer over networks.

When you cancel/unsubscribe, you agree to allow Spy Briefing to contact you once more via email within 365 days.

In the event that you order a product or service, and that product or service is not available (out-of-stock), you may, at any time during the restocking process, request a full refund, which shall be given to you immediately, in full. If you do not request a refund, it is understood that you wish to wait until the item is back-in-stock, whereupon it will be shipped to you. By choosing to receive the product/service when it comes back-in-stock, you do not hold us liable for any delays or inconvenience of any kind. In the event that an item ordered cannot be fulfilled, we will offer you a similar item as a substitute. You have the option of accepting this similar item or requesting a full refund and agree to hold us harmless for any delays or inconvenience. During any restocking period, if a product or service is no longer available, we reserve the right to alter our copy and descriptions to adhere to the specifications and features of the replacement product or service.
SECTION 7 – ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, per IP address or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address or IP address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

In the event that any of the results and proceeds of your submissions hereunder are not deemed a “work made for hire” under Section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to Spy Briefing, LLC all proprietary rights, including without limitation, all copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any and all right, title and interest in and to all such proprietary rights in every medium, whether now known or hereafter devised, throughout the universe, in perpetuity. Any posted material which are reproductions of prior works by you shall be co-owned by us.
You acknowledge that Spy Briefing, LLC has the right but not the obligation to use and display any postings or contributions of any kind and that Spy Briefing, LLC may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.

SECTION 16 – SEVERABILITY
Severability
If any clause within this Provision (other than the Class Action Waiver clause below) is found to be illegal or unenforceable, that clause will be severed from this Provision, and the remainder of this Provision will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, this entire Provision will be unenforceable and the dispute will be decided by a court.
SECTION 17 – TERMINATION
We may cancel or terminate your right to use the Site or any part of the Site at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Site affected by such cancellation or termination. The restrictions imposed on you with respect to material downloaded from the Site, and the disclaimers and limitations of liabilities set forth in these Terms of Service, shall survive.
SECTION 18 – ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
SECTION 19 – GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of Texas. In the event of a dispute of any kind, both parties agree to binding arbitration in the exclusive jurisdiction of Dallas County, Texas.
Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure
These procedures are intended to increase the likelihood of prompt and low-cost resolutions to any dispute between the parties. All the requirements of the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure are jurisdictional in nature.
- Before a party commences an arbitration with NAM with respect to a claim, the party must first send a written notice of dispute (“Notice”). The Notice must (1) be sent by certified mail, return receipt requested or FedEx; (2) be addressed to: Spy Briefing, 921 S. Main Street, Suite #4090, Cedar City, Utah 84720 (3) contain the party’s name, address, email address and date/time of website visit; (4) include a short summary of the dispute, including any relevant facts regarding the use of the Products with specific relief sought;
- The party must attend a video conference to discuss the dispute with a representative from Spy Briefing, LLC. The party’s attorney may be present;
- Spy Briefing, LLC then shall have 45 days from the date of the video conference to analyze the nature of the dispute before the filing of an arbitration with NAM by the party.
- If any aspect of these requirements has not been met, a court of competent jurisdiction may enjoin the filing or prosecution of an arbitration. In addition, unless prohibited by law, NAM Arbitration Practice Administrator/Case Manager must dismiss any arbitration claims brought by a party that has failed to follow the required steps in the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure. If the arbitration is already pending prior to the completion of the Mandatory Pre-Arbitration Notice and Information Dispute Resolution Procedure, NAM cannot accept any fees in connection with an arbitration that has been initiated without completion of the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure. Nothing in this paragraph limits the right of Spy Briefing, LLC to seek damages for non-compliance with the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure in arbitration.
- If after the Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedure has been completed, any claim or dispute arising from use of the Products shall be settled only through binding arbitration. Any complaint or lawsuit filed in a court of law shall be dismissed and the arbitration shall commence. Nothing in this paragraph limits the right of Spy Briefing, LLC to seek damages if a party files a complaint or lawsuit.
Class Action Waiver
You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed.
The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration.

SECTION 22 – SHIPPING POLICY
Orders are shipped within 48 hours unless it’s a weekend or holiday. All orders should be received within seven days. Orders are shipped via the United States Postal Service or Federal Express. If you have any questions about a package, please call our customer service at 435-572-4432.
SECTION 23 – IMPLIED CONSENT FOR COMMUNICATIONS:
By accessing and using our website, you implicitly agree to receive email and SMS communications from us. These may include updates, offers, and informational content related to our Services.

This Agreement shall be binding upon and inure to the benefit of Spy Briefing, LLC and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of Spy Briefing, LLC. Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by Spy Briefing, LLC to any affiliated entity or any of its wholly owned subsidiaries.
